1. Terms of Use Agreement

A. Scope

This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“User” or “you”), and Public Consulting Group, Inc. and its affiliated companies (collectively, “PCG”) concerning your access to and use of the PCG website as well as any other media form, media channel, or mobile website related or connected thereto (collectively, the “Site”). The Site is generally accessible to the public and provides information regarding services and products provided by PCG (“PCG Services”). For the avoidance of doubt, this Agreement does not apply to password-protected websites created by PCG for specific PCG clients. Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby incorporated into this Agreement by reference.

B. Access

PCG makes no representation that the Site is appropriate or available in locations other than where it is operated by PCG. The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject PCG to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so at their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

C. Parental Control

The Site is not directed towards children under 13 years of age, and PCG does not knowingly collect information from children under 13 years of age. Pursuant to 47 USC § 230(d), PCG hereby notifies you that parental control protections such as computer hardware, software, and filtering services are commercially available which may assist you in limiting access to material that may be harmful to minors. You are encouraged to conduct independent research of parental control products, if such products are desired. PCG does not recommend or endorse any parental control product and specifically disclaims liability for the ineffectiveness of any parental control product acquired by you or for any damages incurred by you or your minor children in using any such product in conjunction with the Site.

D. Acceptance of Terms

YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT BY CONTINUING TO USE THE SITE. IF YOU DO NOT AGREE TO ABIDE BY THIS AGREEMENT OR TO MODIFICATIONS THAT PCG MAY MAKE TO THIS AGREEMENT IN THE FUTURE, YOU MAY NOT USE OR ACCCESS OR CONTINUE TO USE OR ACCESS THE SITE.

2. User-Generated Content; Submissions

A. User-Generated Content

PCG may, but in no event shall be obligated to, provide you with the ability to generate content by submitting comments to the Site and/or responding to comments that are submitted by others and posted on the Site. You should not submit information that you consider confidential. You are prohibited from submitting to this Site: (1) any information that in the opinion of PCG is false, defamatory, obscene, violent, threatening, pornographic, racist, hateful, or otherwise objectionable; (2) any information that is subject to the copyright of a third party and not “fair use;” or (3) any information that could give rise to civil or criminal liability. PCG reserves the right to review your comments prior to posting, and to exclude any comment for any reason or no reason, at PCG’s sole discretion. PCG also reserves to right to remove from the Site any of your posted comments, or to terminate your ability to submit comments to the Site, at any time for any reason or no reason, at PCG’s sole discretion. PCG disclaims any liability related to any User-generated content, whether such liability arises under the laws of copyright, trademark, libel, privacy, obscenity, or any other law.

B. Suspension

If PCG terminates or suspends your ability to generate content for any reason, you are prohibited from generating content from a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of such third party. In addition to terminating or suspending your ability to generate content, PCG reserves the right to take appropriate legal action, including without limitation, notice, or liability, pursuing civil, criminal, and injunctive redress.

C. Submissions

No business relationship is created by the use of the Site or the submission of comments or materials to PCG. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Site or PCG Services (“Submissions”) provided by you to PCG are non-proprietary and non-confidential, and that PCG (as well as any designee of PCG) shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

PCG Content on the Site is provided to you “AS IS” for your information and personal use only and may not be used, copied, reproduced, aggregated, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of PCG. Provided that you are eligible to use the Site, you are granted a limited, non-exclusive, and revocable license to access and use the Site and any PCG Content to which you have properly gained access in accordance with this Agreement and solely for your personal non-commercial use. If and to the extent that you print or transmit any PCG Content, all PCG indicia of ownership and rights appearing on such content must be maintained, and the Site must be cited as the source. In no event, however, are you permitted to copy or use PCG Content for commercial purposes competitive to PCG. PCG reserves all rights not expressly granted to you in and to the Site and PCG Content and Marks.

C. Revocation

You agree that if PCG so requests, you shall take immediate action to cease using and remove any usage of PCG Content, regardless of whether doing so would cause a loss to you.

5. Third-Party Sites and Content

A. Third-Party Sites and Third-Party Content

This website contains (or you may be sent through this Site) links to other websites (“Third-Party Sites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”). Such Third-Party Sites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by PCG, and PCG is not responsible for any Third-Party Sites accessed through the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Sites or any Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Site or any Third-Party Content does not imply approval or endorsement thereof by PCG.

B. Accessing Third-Party Sites and Third-Party Content

If you decide to leave the Site and access any Third-Party Site or to use or install any Third-Party Content, you do so at your own risk and you should be aware that PCG’s terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Site or relating to any applications you use or install from the Site. Any purchases or other transactions that you make through Third-Party Sites will be through other websites and from other companies, and PCG takes no responsibility whatsoever in relation to such purchases or other transactions which are exclusively between you and the applicable third party.

The linking site must not remove or obscure PCG proprietary notices, must not “frame” the Site or otherwise suggest that the content is not the property of PCG, and must not contain material that is illegal or that is offensive in the sole judgment of PCG. The link must be removed immediately and without objection upon PCG’s request, which may be for any reason or for no reason.

B. Termination by PCG

WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, PCG RESERVES THE RIGHT TO, IN PCG’S SOLE DISCRETION, AND WITHOUT NOTICE OR LIABILITY, DENY YOU ACCESS TO AND USE OF THE SITE FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THIS AGREEMENT, OR OF ANY APPLICABLE LAW, OR REGULATION, AND PCG MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE, AND DELETE ANY CONTENT OR INFORMATION THAT YOU HAVE POSTED AT ANY TIME, WITHOUT WARNING, IN PCG’S SOLE DISCRETION.

C. Blocking Access

In order to protect the integrity of the Site, PCG reserves the right at any time in its sole discretion to block certain IP addresses from accessing the Site.

D. Survival

Any provisions of this Agreement that, in order to fulfill the purposes of such provisions, need to survive the termination or expiration of this Agreement, shall be deemed to survive for as long as necessary to fulfill such purposes.

9. Amendments and Modifications

A. To Agreement

You agree that you will periodically check the Site for updates to this Agreement. PCG may modify this Agreement at any time without notice and any such modifications shall be effective after posting. When amendments are made, the “Last Updated” date at the top of this Agreement will be updated accordingly. You agree to be bound to any changes to this Agreement when you continue to use the Site after any such modifications become effective.

B. To Site

PCG reserves the right to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that PCG shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site.

10. Disputes between Users

If there is a dispute between Users of this Site, or between Users and any third party, you understand and agree that PCG is under no obligation to become involved in such matter. In the event that you have a dispute with one or more other Users, you hereby release PCG, its officers, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed, and undisclosed, arising out of or in any way related to such disputes and/or the Site.

11. Disputes with PCG

A. Governing Law; Jurisdiction

This Agreement and all aspects of the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law provisions. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), (1) you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Suffolk County, Commonwealth of Massachusetts, (2) you hereby consent to personal jurisdiction in such state and federal courts, and (3) you waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods is excluded from this Agreement. Additionally, application of the Uniform Computer Information Transaction Act (UCITA) is excluded from this Agreement. In no event shall any claim, action, or proceeding by you related in any way to the Site be instituted more than two (2) years after the cause of action first arose.

B. Informal Resolution

To expedite resolution and control the cost of any dispute, controversy, or claim related to this Agreement (“Dispute”), you and PCG agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.

C. Binding Arbitration

If you and PCG are unable to resolve a Dispute through informal negotiations, either you or PCG may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures (the “JAMS Rules”) and in accordance with the Expedited Procedures in those Rules. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the JAMS Rules and, where appropriate, limited by the JAMS Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless required to by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as mutually agreed otherwise, the arbitration will take place in Suffolk County, Commonwealth of Massachusetts. Except as otherwise provided in this Agreement, you and PCG may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

D. Restrictions

You and PCG agree that any arbitration shall be limited to the Dispute between PCG and you individually. To the full extent permitted by law: (1) no arbitration shall be joined with any other; (2) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (3) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

E. Exceptions to Informal Negotiations and Arbitration

You and PCG agree that the following Disputes are not subject to any of the above provisions concerning informal negotiations and binding arbitration: (1) any Disputes seeking to enforce or protect, or concerning the validity of any of your or PCG’s intellectual property rights; (2) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (3) any claim for injunctive relief. If any portion of this Section 11 is found to be illegal or unenforceable, then neither you nor PCG will elect to arbitrate any Dispute falling within that portion of this Section found to be illegal or enforceable and any such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and you and PCG agree to submit to the personal jurisdiction of that court.
